These Terms and Conditions of Use ("Terms") govern your relationship with UMIND LTD ("Company", "we", "us", or "our"), 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom, regarding your use of the Entwined mobile application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1.3

These Terms incorporate our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

1.4

We reserve the right to change or modify these Terms at any time. If we make material changes, we will notify you through the Service, by email, or by other appropriate means before the changes take effect. Your continued use of the Service after such changes become effective constitutes your acceptance of the updated Terms.

2. Important Disclaimers

2.1

The Service provides relationship-related quizzes, assessments, educational content, communication tools, and personalized recommendations intended for general informational, educational, and self-reflection purposes only.

2.2

The Service is not a substitute for professional advice, diagnosis, or treatment. The content provided through the Service does not constitute medical, psychological, psychiatric, therapeutic, legal, or financial advice. The Service is not intended to diagnose, treat, cure, or prevent any mental health condition, relationship issue, or medical condition.

2.3

The Service is not a crisis service and is not designed to support users experiencing domestic abuse, coercive control, violence, self-harm, suicidal ideation, severe emotional distress, or any emergency situation. We do not guarantee any specific outcomes or improvements from using the Service. Results vary depending on individual circumstances, effort, communication, and other factors outside our control. You are solely responsible for your decisions, actions, and relationships.

2.5

Your use of the Service is at your own risk.

3. Account Registration

3.1

To use certain features of the Service, you must register an account ("Account") and provide accurate, current, and complete information.

3.2

You are responsible for maintaining the confidentiality of your Account login information and for all activities that occur under your Account. You must notify us immediately of any unauthorized use of your Account.

3.3

You must be at least 18 years old to register an Account and use the Service. By creating an Account, you represent and warrant that you meet this requirement.

3.4

You may only create one Account for your personal use. You may not share your Account credentials with any other person.

3.5

We reserve the right to suspend or terminate your Account if you violate these Terms, provide false information, or engage in conduct that we reasonably consider harmful to the Service, our business, or other users.

4. Service

4.1

The Service includes all text, images, audio, video, software, data, and other content made available through the Service ("Content"), excluding information you submit to the Service.

4.2

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

4.3

You agree not to copy, reproduce, distribute, modify, publicly display, sell, license, reverse engineer, or create derivative works from the Service or Content without our prior written consent.

4.4

You are responsible for obtaining and maintaining any device, internet connection, and telecommunications services needed to access the Service.

4.5

We may modify, suspend, discontinue, or update the Service (in whole or in part) at any time, including adding or removing features.

5. User Conduct and Restrictions

5.1

You agree to use the Service only in compliance with applicable laws and regulations.

5.2

You agree not to:

  • use the Service for unlawful, fraudulent, or unauthorized purposes;
  • interfere with or disrupt the Service or related systems;
  • attempt to gain unauthorized access to the Service or other accounts;
  • use bots, scrapers, crawlers, or automated tools to access the Service;
  • reverse engineer, decompile, or attempt to extract source code;
  • upload malware, viruses, or harmful code;
  • impersonate another person or misrepresent your affiliation;
  • use the Service in a way that could damage, disable, or impair the Service.

5.3

The Service does not include public posting, social networking, or public community features unless expressly stated otherwise.

6. Subscription Fees, Payment, and Refunds

Auto-Renewing Subscriptions

6.1

Certain features of the Service require a paid subscription ("Subscription"). Subscription pricing, billing intervals, and available plans are displayed at the time of purchase.

6.2

Subscriptions automatically renew at the end of each billing period unless cancelled before renewal in accordance with the rules of the platform through which you purchased the Subscription.

6.3

By purchasing a Subscription, you authorize us and our payment providers (including Apple App Store and Google Play) to charge your selected payment method for recurring subscription fees and applicable taxes.

6.4

You may manage or cancel your Subscription through your Apple ID account settings, Google Play account settings, or other applicable platform settings.

6.5

If you purchased through the Apple App Store or Google Play, billing, cancellation, and refund requests may also be subject to the policies and procedures of those platforms.

6.6

We may offer introductory pricing, promotional trials, or discounted billing periods. Unless cancelled before renewal, the Subscription will automatically renew at the then-current standard price after the promotional period ends.

Refunds

6.7

We offer a 14-day money-back guarantee for first-time direct purchases made through our website, unless otherwise required by applicable law.

6.8

For purchases made through the Apple App Store or Google Play, refunds are generally handled by the relevant platform provider in accordance with their policies.

6.9

Except where required by applicable law, Subscription fees are otherwise non-refundable.

6.10

Nothing in these Terms affects any mandatory consumer rights you may have under the laws of your country of residence.

6.11

We reserve the right to change Subscription fees at any time. Any pricing changes will apply no earlier than the next billing period following notice to you.

7. Intellectual Property

7.1

The Service and all Content, including software, text, graphics, logos, trademarks, designs, audio, video, and branding, are owned by UMIND LTD or its licensors and are protected by intellectual property laws.

7.2

Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written permission.

7.3

If you submit feedback or suggestions regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without restriction or compensation.

8. Termination

8.1

You may stop using the Service at any time.

8.2

You may request deletion of your Account by contacting us or using available in-app deletion tools.

8.3

We may suspend or terminate your access to the Service if we reasonably believe you violated these Terms, applicable law, or engaged in harmful or abusive conduct.

8.4

Upon termination, provisions that by their nature should survive termination will continue to apply.

9. Limitation of Liability

9.1

To the maximum extent permitted by applicable law, UMIND LTD shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, goodwill, relationships, business opportunities, or data.

9.2

Our total aggregate liability arising out of or related to the Service or these Terms shall not exceed the greater of:

  • the amount paid by you to us for the Service during the 12 months preceding the claim; or
  • £100 GBP.

9.3

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence.

9.4

The Service is provided on an "as is" and "as available" basis without warranties of any kind except where such warranties cannot legally be excluded.

10. Indemnification

10.1

You agree to indemnify and hold harmless UMIND LTD and its officers, directors, employees, and affiliates from claims, damages, liabilities, and expenses arising out of:

  • your use of the Service;
  • your violation of these Terms; or
  • your violation of applicable law or third-party rights.

11. International Use and Data Transfers

11.1

The Service is operated from the United Kingdom.

11.2

By using the Service, you acknowledge that your information may be transferred to and processed in countries outside your country of residence.

11.3

Where required by law, we implement appropriate safeguards for international data transfers in accordance with applicable data protection laws.

12. Governing Law and Jurisdiction

12.1

These Terms are governed by the laws of England and Wales.

12.2

If you are a consumer resident in the United Kingdom or European Union, nothing in these Terms limits any mandatory consumer protections available under the laws of your country of residence.

12.3

Subject to applicable consumer protection laws, the courts of England and Wales shall have jurisdiction over disputes arising out of or relating to these Terms or the Service.

12.4

If you are a resident of the European Union, you may also have the right to submit disputes through the European Commission Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

13. Changes to These Terms

13.1

We may update these Terms from time to time.

13.2

If we make material changes, we will provide notice before the updated Terms take effect.

13.3

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms.

14. Miscellaneous

14.1

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect.

14.2

Our failure to enforce any provision shall not constitute a waiver.

14.3

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service.

14.4

We may assign our rights and obligations under these Terms in connection with a merger, acquisition, financing, or sale of assets.

14.5

Nothing in these Terms creates a partnership, employment relationship, or agency relationship between you and us.
